is a corporate and finance focussed Singapore- based law practice with expertise in corporate, regulatory and compliance as well as commercial transactions.
Our lawyers provide full service corporate support to banks and financial institutions as well as corporates advising on all types of corporate and financing structures, from the structuring to the enforcement, from mergers and acquisitions, loan facilities to securitisations, including trade, commodities, project and real estate financing.

Lee Chien Herr
Director
Building on the practice he established as a partner at an international law firm, Chien Herr is frequently instructed on banking and finance and corporate commercial matters. He advises on all aspects of financing; his mergers and acquisitions and cross-border ship finance expertise has been mentioned in a number of prominent industry publications. His sector experience includes fintech and start-ups, maritime, commodities and commercial property developments (in Singapore and overseas).

Chien Herr’s well-rounded practice includes advising banks and companies on a variety of cross-border restructuring transactions, work-outs as well as enforcement scenarios. His corporate commercial portfolio also includes advising on the corporate and finance aspects of joint ventures and mergers and acquisitions.

Leon Low
Director
Leon is a banking, finance and corporate lawyer, known for his commercial, client- focussed advice as well as the perspective which he brings to bear due to the international nature of his practice (having also practiced in Tokyo for some time).

With more than 20 years of practice experience, his expertise is frequently called upon in relation to structuring advice for innovative products, trade and commodities finance, mergers and acquisitions as well as insolvency and restructuring transactions. His banking and finance practice also includes asset finance transactions involving vessels, aircraft, commercial and residential property. Power and infrastructure project finance, restructuring of sovereign debt are also areas of experience.

Jonathan Tan
Director
Jonathan’s practice is in banking and finance, regulatory, general corporate law and mergers and acquisitions. In his time at some of Singapore’s largest firms and an international firm specialising in finance and transportation, he has worked on a number of high-value, complex, cross-border asset finance and commercial banking matters.
His finance experience includes advising clients on transactional swaps and derivatives matters, assisting them in the negotiation of ISDA documentation, while his regulatory experience includes advising banks, international financial institutions looking to set up in Singapore, start-ups and fintech companies on licensing and compliance issues touching on a broad range of financial services. In addition, he has assisted companies with early-stage investments in, and mergers and acquisitions of, assets both in Singapore and abroad.

Marc Teh
Associate Director
Marc’s practice comprises a range of project, asset and trade finance, including aviation,
container leases, bunkers and resort and property development both local and abroad.
He also has experience advising on corporate restructurings, mergers and acquisitions,
joint ventures, corporate governance, employment and other corporate matters.

Chua Cheng’An
Senior Associate
Cheng’An brings his bilingual English and Mandarin capabilities to his banking and finance practice, regularly advising banks and corporates on domestic and cross-border financings, often including a Chinese element. His practice includes bilateral and syndicated financing, development and acquisition finance.
His asset finance experience includes cross-border vessel finance and sale and leaseback transactions as well as aviation finance.

Valerie Tang
Senior Associate
Valerie’s areas of expertise include mergers and acquisitions, joint ventures, employment matters and corporate advisory work for various private companies, both in Singapore and the region. She has also assisted in the firm’s work on the first consolidation of pet care companies in Singapore which is the second such niche market consolidation in Singapore. In terms of cross-border work, she has advised on share and business acquisitions, as well as various fund-raising rounds for regional startups in specialized sectors such as professional healthcare services, pharmaceuticals, professional service providers and gaming/esports.
Her foundational training in banking and finance stands alongside her corporate commercial practice as she continues to advise both financial institutions and companies on their routine as well as bespoke financing requirements.

Ethan Wang
Legal Executive
Ethan’s work focusses on transaction management and general assistance on banking and finance transactions when the firm acts for lenders and borrowers in cross border finance transactions. In relation to corporate and commercial matters, he assists the team by liaising with the various stakeholders in relation to share purchase agreements, shareholders’ agreements, due diligence and legal opinions. Before joining the firm, Ethan worked for a law firm in China.

Ong Mori
Counsel
As a bilingual corporate commercial lawyer, Mori has advised on a diverse and comprehensive range of corporate and commercial matters across domestic and cross-border transactions, having worked with clients from initial establishment through to day-to-day corporate and regulatory support. She has experience negotiating and drafting a wide range of commercial agreements, including, for instance, distributorship, agency, supply and service arrangements.
In the area of private wealth, Mori regularly engages with investors, funds and the management teams of financial institutions in relation to the various stages of the investment cycle.
